FirstRand secures AGM approval
FirstRand Namibia shareholders have approved all ordinary resolutions tabled at the bank’s annual general meeting, with 88.27% of the company’s shares represented at the meeting.
The resolutions, covering the bank’s annual financial statements, dividends, board appointments, audit oversight and director remuneration, were approved by the requisite majority at the meeting held on 16 October.
Shareholders approved the financial statements for the year ended 30 June 2026 and confirmed the dividends. They also backed the re-election of Samantha Balsdon as a non-executive director and Markus Lubbe as an independent non-executive director.
Conville Britz, who filled a board vacancy during the year, was also approved as a non-executive director.
However, votes on Lubbe’s appointment to the audit and risk committee attracted some opposition, with 83.38% of shares voted in favour and 4.89% against. His appointment was nevertheless approved.
Emile van Zyl’s appointment to the committee received 88.27% support, while Britz’s appointment received 88.05% support, with 0.22% voting against.
Shareholders also approved the reappointment of the external auditors and authorised the determination of their remuneration.
Resolutions on non-executive director and committee member remuneration for the 2026 and 2027 financial years were approved, as was the bank’s reward philosophy and principles policy.
All resolutions were passed by the requisite majority of shareholders present or represented by proxy, according to a notice issued by the company secretary, Nelago Makemba.
